Terms and conditions
Terms of sale and supply for Nucleus Analytics Private Limited.
These terms and conditions govern the sale of instruments, consumables and services by Nucleus Analytics Private Limited (“Nucleus”, “we”) to the customer. They apply unless separately agreed in a signed written contract, which prevails to the extent of any conflict. Placing an order constitutes acceptance of these terms.
1. Quotations and orders
Quotations are valid for 30 days from their date unless stated otherwise, and are subject to the availability of the goods. A contract is formed only when we accept your order in writing. We may decline any order.
2. Prices, taxes and payment
Prices are exclusive of GST and other applicable taxes, duties and levies, which are charged in addition at the prevailing rate. Unless stated otherwise, payment terms are as set out in the quotation or invoice. We may charge interest on overdue amounts at the rate permitted by law from the due date until payment is received.
3. Delivery, title and risk
Delivery dates are estimates given in good faith and are not guaranteed. Risk in the goods passes to the customer on delivery. Title to the goods remains with Nucleus until we have received payment in full.
4. Installation and site readiness
Where installation is included, the customer is responsible for preparing the site to the manufacturer's published requirements — including power, environment, ventilation and, where applicable, gas supply — before the scheduled installation date. Delays or additional visits caused by the site not being ready may be chargeable.
5. Warranty
Instruments are covered by the manufacturer's warranty, the terms and duration of which are stated in the quotation or the accompanying documentation. The warranty does not cover fair wear and tear, consumables, or damage arising from misuse, unauthorised modification, inadequate site conditions, or service performed by anyone other than Nucleus or a party we authorise. Consumables and reference materials are warranted only to conform to their specification at the time of delivery.
6. Service and calibration
Service, calibration and maintenance are provided under the terms of the applicable service contract or quotation. Recommended calibration intervals are guidance; maintaining an instrument's calibration state for regulatory or quality purposes is the customer's responsibility.
7. Regulatory compliance
X-ray instruments are subject to regulation in India, including registration with the Atomic Energy Regulatory Board (AERB) where applicable. We will provide the documentation reasonably required to support registration, but the customer is responsible for holding the necessary approvals and for operating the instrument in accordance with them.
8. Limitation of liability
Our total liability arising out of or in connection with any contract, whether in contract, tort or otherwise, is limited to the price paid for the goods or services giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profit, production, data or business. Nothing in these terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence.
9. Spare parts
We hold or source spare parts and consumables for the instruments we supply for as long as the manufacturer makes them available. Where the manufacturer discontinues a part, we will give reasonable notice where we are able to.
10. Force majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural events, acts of government, disruption to transport or supply, and interruption of utilities.
11. Governing law and jurisdiction
These terms and any contract formed under them are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction over any dispute.
